Welcome to PrimeTask. By using our desktop application or website, you agree to these Terms of Service. Please read them carefully before using our services.

1. Acceptance of Terms
By downloading, installing, or using PrimeTask, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our application or services.
These terms apply to all users of PrimeTask, including beta testers, free users, and licensed users.
2. License & Usage
License Grant:
- •PrimeTask grants you a limited, non-exclusive, non-transferable license to use the application
- •The license is for personal or business productivity use only
- •You may not redistribute, sell, or sublicense the application
Perpetual Licensing & Updates:
- •Perpetual licensing. Standard and Pro licenses are perpetual for the major version you purchase. There are no recurring fees and no expiry.
- •Updates included. Your license includes all minor and patch releases within the major version family you purchased (for example, a PrimeTask 1 license includes 1.0, 1.1, 1.5, 1.9, and any other 1.x release).
- •Major version upgrades. When we release a new major version (for example, PrimeTask 2), it may include significant new features and require a separate paid upgrade. Your existing license continues to work on the version you purchased. You are never forced to upgrade.
Pay Over Time Licenses:
PrimeTask offers a Pay Over Time option allowing you to pay for your license in five (5) equal instalments over a defined period. Pay Over Time plans are provided as a sequence of five one-time payments, not as a subscription, and accordingly:
- •Each instalment creates, on payment, a right to use PrimeTask for the corresponding instalment period; when all five instalments are completed, your license is converted to a full, permanent license with no further payments.
- •You may cancel an active Pay Over Time plan at any time through your account portal. Cancellation terminates future instalments and the license access associated with them, with no further charges taken from you.
- •Instalments already paid are non-refundable save where required by law or our Refund Policy.

Prohibited Uses:
- •Reverse engineering, decompiling, or disassembling the application
- •Using the application for any illegal purpose
- •Attempting to circumvent licensing or security measures
3. Beta Program
By applying for and participating in the PrimeTask beta program, you agree to the following additional terms:
Beta Tester Responsibilities:
- •Download and activate the app within 14 days of approval
- •Actively test the application and provide constructive feedback
- •Report bugs and issues through the beta portal
- •Maintain confidentiality of pre-release features
Inactivity Policy
Beta spots are limited and reserved for active testers. Beta testers who do not activate the app within 14 days of approval may have their beta access revoked to make room for other testers on the waitlist. You will receive reminder emails at day 7 and a final warning at day 14 before any action is taken.
Beta Rewards:
Active beta testers who contribute meaningfully to the testing process are eligible for:
- •A lifetime Pro license upon official release
- •Early access to new features and updates
- •Recognition in the beta testers hall of fame
The beta program may be modified or terminated at any time. We reserve the right to remove testers who violate these terms or do not actively participate.
4. Third-Party Content & Embeds
Important: User Responsibility
PrimeTask allows you to embed content from third-party services in your tasks and notes. You are solely responsible for ensuring your use of embedded content complies with the respective third-party terms of service.
YouTube Video Embeds
PrimeTask allows you to embed YouTube videos in task descriptions using YouTube's standard iframe embed functionality. By embedding YouTube content, you agree to:
- •Comply with YouTube's Terms of Service
- •Comply with YouTube API Terms of Service
- •Accept that YouTube may collect data according to their privacy policy when you view embedded content
Note: PrimeTask provides embedding functionality as a convenience feature. Features like Picture-in-Picture playback use standard browser APIs. You are responsible for how you use embedded content and any applicable subscription requirements from the content provider.
Image Embeds
You may embed images in task descriptions. You are responsible for:
- •Ensuring you have the right to use and display embedded images
- •Complying with copyright and intellectual property laws
- •Respecting the terms of service of image hosting providers
General Third-Party Content Disclaimer
- •PrimeTask does not host, control, or moderate third-party content
- •We are not responsible for the availability, accuracy, or legality of third-party content
- •Third-party services may collect data according to their own privacy policies
- •You access third-party content at your own risk
5. User Responsibilities
As a user of PrimeTask, you agree to:
- •Use the application in compliance with all applicable laws and regulations
- •Maintain the security of your account and license key
- •Take responsibility for all content you create or embed within the application
- •Maintain your own backups of important data
- •Comply with third-party terms of service when embedding external content
Your Data Belongs to You:
PrimeTask is a local-first desktop application. Your tasks, projects, notes, and personal data are stored locally on your device and belong to you. We do not have access to your productivity data, do not transmit it to our servers, and cannot recover it if it is lost. You are responsible for maintaining your own backups.
Collaboration & Shared Spaces:
- •PrimeTask provides optional collaboration features that allow you to share data with others via your own storage providers
- •You are solely responsible for the data you choose to share and with whom you share it
- •PrimeTask is not responsible for data loss, unauthorised access, or breaches arising from your choice of storage provider or network configuration
6. Account Security & Purchases
When you purchase a PrimeTask license, the following additional responsibilities apply:
Account Responsibility:
- •You are responsible for all activity on your account, including device activations
- •You must not share account credentials or license access with others
- •Each license is tied to one account and may only be activated on the number of devices permitted by your tier
Device Limits Per Tier:
- •Trial: Up to 2 devices
- •Standard: Up to 2 devices
- •Pro: Up to 4 devices
Refunds:
PrimeTask offers a 14-day money-back guarantee for Standard and Pro licenses purchased from primetask.app. Full details, including how to request a refund and our processing timelines, are in our Refund Policy.
Refund requests are processed through the original payment provider. Where Stripe Payments Europe Limited is the merchant of record for your purchase, refunds are issued by Stripe and may take 5-10 business days to settle to your original payment method.
Payment Processing & Merchant of Record:
Depending on the payment arrangements in effect at the time of your purchase, the merchant of record for your transaction may be either (a) TaskCore LTD directly, or (b) Stripe Payments Europe Limited (or its applicable regional affiliate) acting under Stripe's Managed Payments program. Your receipt and credit-card statement will identify the applicable merchant. Your statutory consumer rights (including under the UK Consumer Rights Act 2015) are unaffected by which entity acts as merchant of record. Refunds are processed through the same channel as your original payment.
Taxes: Sales tax, VAT, and other applicable transactional taxes are collected at checkout. Where Stripe Payments Europe Limited is the merchant of record for your purchase, these taxes are collected and remitted by Stripe on TaskCore LTD's behalf. Where TaskCore LTD is the merchant of record for your purchase, TaskCore LTD collects and remits applicable taxes directly.
Currency & Pricing: Prices may be shown to you in one of our supported regional currencies (GBP, EUR, or USD), selected automatically based on the approximate country your connection appears to come from. This is a convenience only. The price, currency, and any applicable taxes that govern your purchase are those presented and confirmed at checkout before you pay. If the currency shown while browsing differs from the one available at checkout, the checkout currency and amount apply. We may adjust prices at any time; the price applicable to your purchase is the one in effect at the time you complete checkout.
Digital Content & Immediate Access:
PrimeTask is supplied as digital content and is made available for download immediately upon purchase. By completing your purchase, you expressly request immediate delivery of the digital content and acknowledge that you lose the statutory 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 once the download begins. This does not affect your separate 14-day money-back guarantee under our Refund Policy, or any other statutory consumer rights you may have under UK law.
Fraud & Abuse:
- •Fraudulent refund claims, chargeback abuse, or misrepresentation of account activity may result in permanent account termination and forfeiture of your license
- •We reserve the right to revoke licenses where evidence indicates credential sharing or activation abuse
- •We limit the total number of refunds we will issue to any single customer to three (3) in any rolling 12-month period, across all PrimeTask products. Requests above this cap may be declined. This cap does not override your statutory rights under the UK Consumer Rights Act 2015.
- •We may decline further refund requests, or revoke further activations, where our records indicate a pattern of purchase-then-refund conduct not consistent with good-faith product evaluation.
Refund Attestation:
When you request a refund of a PrimeTask purchase, we will ask you, by email, to uninstall the PrimeTask application from all of your devices and reply confirming that uninstallation is complete before we process the refund. This confirmation is the point at which the refund obligation is triggered, we may decline to process a refund until it is received.
Your written confirmation that uninstallation is complete is a material term of the refund transaction and forms part of the agreement between you and us. By requesting a refund and providing this confirmation you accept that the refund is offered in reliance on the representation that you have uninstalled the application and ceased using it.
Resumption of use following a processed refund is a breach of this agreement. If you re-install or continue to use PrimeTask after receiving a refund, we may, without further notice, revoke any license access associated with the refunded purchase, terminate any ancillary accounts, and recover loss by the means set out in this agreement and at law, including (where applicable) reversal of the refund or pursuit of the refunded amount as a debt. The availability of a refund does not authorise continued use of the application once the refund has been processed.
The operational detail of how refund requests are handled, the timescales involved, the approval checks that apply, and the frequency cap set out above, is described in our Refund Policy, which is incorporated into this agreement by reference.
Technical Data & Record Retention:
We collect limited technical data during license activation for security and fraud prevention, and we retain records of your purchases, refunds, and chargebacks for the period required by applicable law (including, in the UK, the Companies Act 2006 and VAT Act 1994, which require us to retain business records for a minimum of six (6) years). This data may be used as evidence in the event of a payment dispute, regulatory request, or tax audit.
If you exercise your right to erasure under UK GDPR after a refund or chargeback, we will pseudonymise (rather than delete) your personal data in those financial records so that the records can continue to comply with our legal retention obligations without retaining data that identifies you. See our Privacy Policy for full details, including the lawful bases on which we process and retain this data.
Refund Policy Incorporation:
Our Refund Policy is incorporated into these Terms of Service by reference. In the event of any conflict between these Terms and the Refund Policy, these Terms prevail to the extent of the conflict, save where doing so would reduce any right you have under applicable consumer protection law (in which case the more consumer-favourable provision applies).
Self-Service License Deactivation Attestation:
If you no longer have access to a device on which your PrimeTask license is activated (for example because the device has been sold, gifted, lost, stolen, destroyed, or otherwise rendered inaccessible to you), you may release the license slot for that device through your customer portal at primetask.app. This portal flow is intended for the limited case where you cannot use the in-application Transfer License feature because the device is no longer accessible to you. If the device is still accessible, you must use the in-application Transfer License feature instead.
When you submit a device-release request through the customer portal, you confirm by ticking each individual attestation in the release form that:
- the device in question is no longer in your possession or otherwise accessible to you;
- you have no continuing means by which to use PrimeTask on that device;
- this confirmation is a material term of the deactivation request and forms part of the agreement between you and us; and
- you understand that if your license is later found to be running on more devices than authorised by your tier, your entire license may be revoked without refund.
Continued or renewed use of PrimeTask on a device for which a self-service portal release has been confirmed is a breach of this agreement. If we observe activations from a device for which a portal release was attested, we may , without further notice , revoke any license access associated with that account, terminate ancillary accounts, and pursue recovery of loss by the means set out in this agreement and at law.
Self-service device release through the customer portal is available only to Standard, Pro, and Beta licence holders. Trial users must contact support to manage their devices.
To prevent abuse, self-service device releases are rate-limited to three (3) releases per rolling 30-day period per account. Requests above this cap will be held for support review. This rate limit is operational and does not affect your statutory rights.
7. Limitations of Liability
“As Is” Provision:
PrimeTask is provided “as is” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of Damages:
In no event shall PrimeTask or its creators be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or business opportunities.
Third-Party Content:
We are not liable for any issues arising from your use of third-party content or services accessed through PrimeTask, including but not limited to YouTube videos, external images, or other embedded media.
8. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of PrimeTask after changes constitutes acceptance of the modified terms.
We recommend reviewing these terms periodically for any updates.
9. General Provisions
Governing Law & Jurisdiction:
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Statutory Consumer Rights:
Nothing in these Terms affects your statutory consumer rights as a UK consumer under the Consumer Rights Act 2015 or other applicable consumer protection law.
